Terms of Service

Last updated: August 24, 2026

1. Agreement to these terms

These Terms of Service ("Terms") are a legal agreement between you and Pivot Systems LLC ("Pivot," "we," "us," or "our"). By creating an account, accessing, or using the Pivot platform and related services (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms apply to both Coaches and Clients (as defined below). Where a provision applies only to one type of user, that is noted.

2. Definitions

3. Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this requirement. Coaches are responsible for ensuring their Clients meet this requirement before inviting them to the platform.

You must provide accurate, complete, and current information when creating your account and keep it updated.

4. Accounts

Coach accounts

Coaches register directly with Pivot. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

Client accounts

Clients access the Service by invitation from their Coach. A Client's account is tied to the coaching relationship: if a Coach's account is suspended or terminated, Client access associated with that Coach may also be affected.

One account per user

Each user may maintain one account. You may not create multiple accounts or transfer your account to another person without our written consent.

5. Subscriptions and payment

Billing

Pivot is a subscription service billed on a recurring basis. By subscribing, you authorize us to charge your payment method through Stripe on a recurring basis until you cancel.

Subscription fees are charged at the beginning of each billing period. All fees are in US dollars unless otherwise stated.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You retain access to the Service until that date.

Non-payment and suspension

If a payment fails and is not resolved within a reasonable period, your account may be suspended. While suspended, you and your Clients will lose access to the Service. We will attempt to notify you before suspending your account. Your data is retained during suspension in accordance with our Privacy Policy.

Free trial

Pivot offers a two (2) week free trial for new subscribers. You will not be charged during the trial period. You may cancel at any time before the trial ends to avoid being charged. If you do not cancel before the trial ends, your subscription will begin automatically and your payment method will be charged.

Refunds

Subscription fees are non-refundable. Because we offer a free trial that lets you evaluate the Service before being charged, we do not provide refunds or credits for any billing period, including partial periods, unused time, or periods during which your account was inactive.

To the extent any jurisdiction requires refunds that these Terms do not provide, we will comply with applicable law.

Price changes

We may change subscription pricing with reasonable advance notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

6. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Coaches specifically

Coaches agree to use the Service only in connection with legitimate coaching relationships and to comply with all applicable professional, legal, and ethical obligations in their jurisdiction. Coaches are solely responsible for the coaching services they provide to their Clients: Pivot is a software tool, not a co-provider of those services.

Community spaces

Parts of the Service let members of a coaching practice post, comment, message, and react in shared spaces such as forums and group chats. These spaces belong to the people in that practice; treat them like a room you all share. By using the Service you agree that in any shared space you will not post:

If you see something that breaks these rules, open the menu on any post or comment and choose Report. Reported content is hidden right away while the coach reviews it, and your name is never shown to the person you reported. You can also block any member from the same menu; you will not see their posts or comments, and they will not see yours. We review every report and remove anything that breaks these rules within 24 hours, and members who post prohibited content lose access to shared spaces. Questions or concerns can be sent to [email protected].

7. Content and data

Your content

You retain ownership of any content you create or submit through the Service (Coach Content and Client Data). By submitting content, you grant Pivot a limited, non-exclusive license to store, process, and display that content solely as necessary to provide the Service.

Coach responsibility for Client data

Coaches are responsible for having the appropriate legal basis to collect and process their Clients' data through the Service. This includes obtaining any necessary consents from Clients before inviting them to the platform and complying with applicable privacy laws in their jurisdiction.

Prohibited content

You may not upload content that infringes any third party's intellectual property rights, violates any law, or contains malware, viruses, or other harmful code.

No sensitive regulated health data

Pivot is not a HIPAA-covered entity and is not designed to store protected health information as defined under HIPAA. Coaches who are themselves subject to HIPAA or similar laws should contact us before entering regulated health information into the Service.

8. AI features

The Service includes AI-powered features that generate coaching suggestions, check-in summaries, responses to Clients, and related outputs. Depending on how a Coach configures the Service, AI features may operate in two ways:

AI-generated outputs are tools to support coaching and are not a substitute for professional judgment. The AI features are intended to provide general fitness and nutrition guidance and are not intended to provide medical advice, diagnosis, or treatment. Because AI systems can produce unexpected or inaccurate output, Pivot does not guarantee that AI-generated content will stay within its intended scope, and Pivot makes no warranty that AI-generated outputs are accurate, complete, or appropriate for any particular Client.

Coach responsibility

The Coach is responsible for choosing which mode to use and for the AI features they enable in their programs. A Coach who enables direct mode is responsible for the AI's automated interactions with their Clients to the same extent as if the Coach had provided those responses themselves, including ensuring the configuration is appropriate for their Clients and that Clients are informed that some responses are generated automatically by AI. Pivot provides the AI tooling; the Coach remains responsible for the coaching relationship and for compliance with applicable laws and professional obligations.

Notice to Clients

Where AI operates in direct mode, Clients should understand that some or all responses to their check-ins may be generated automatically by AI without human review. AI-generated guidance is general fitness and nutrition information, not medical advice, and is not a substitute for advice from a qualified professional. Clients should consult a physician or other qualified provider before making significant changes to their diet, exercise, or health routines, particularly if they have a medical condition, injury, or other health concern, and should not disregard professional advice based on something generated by the Service.

9. Intellectual property

Pivot's IP

The Service, including its software, design, features, and content created by Pivot, is owned by Pivot and protected by intellectual property laws. These Terms do not transfer any ownership of Pivot's intellectual property to you. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

Feedback

If you submit feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without restriction or compensation to you.

10. Third-party services

The Service integrates with third-party providers including Stripe, Railway, Cloudflare, Resend, GitHub, and Google (Gemini API). Your use of those services is subject to their respective terms and privacy policies. Pivot is not responsible for the practices or content of third-party services.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

PIVOT IS A SOFTWARE PLATFORM. PIVOT ITSELF DOES NOT ACT AS A COACH AND DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ANY FITNESS, NUTRITION, OR COACHING GUIDANCE DELIVERED THROUGH THE PLATFORM, WHETHER FROM A COACH OR GENERATED BY AI FEATURES A COACH HAS ENABLED, IS THE RESPONSIBILITY OF THE COACH PROVIDING OR CONFIGURING IT, AND IS GENERAL IN NATURE RATHER THAN A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIVOT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PIVOT IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above may not apply to you in full.

13. Indemnification

You agree to indemnify and hold harmless Pivot and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) the coaching services you provide to your Clients.

14. Termination

By you

You may stop using the Service and cancel your account at any time. Cancellation instructions are available in your account settings.

By us

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if continuing to provide the Service is no longer feasible. We will endeavor to provide advance notice where practical.

Effect of termination

Upon termination, your right to access the Service ends. Provisions of these Terms that by their nature should survive termination will survive, including sections on intellectual property, disclaimers, limitation of liability, and indemnification.

Data retention after termination is governed by our Privacy Policy.

15. Dispute resolution

Please read this section carefully. It affects your legal rights, including your right to bring a lawsuit in court.

Informal resolution first

Before filing any formal claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. We will try in good faith to resolve any dispute within sixty (60) days of receiving your notice. Most concerns can be resolved this way.

Binding arbitration

If we cannot resolve a dispute informally, you and Pivot agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved through binding individual arbitration, rather than in court, except as set out below. Arbitration will be administered by a recognized arbitration provider under its applicable rules, and will take place in or near East Lansing, Michigan, or be conducted remotely, at the option of the party seeking relief. The arbitrator's decision will be final and binding.

Exceptions

Either party may bring an individual claim in small claims court if it qualifies. Nothing in this section prevents either party from seeking injunctive or equitable relief in court to protect intellectual property rights or to address unauthorized access to or misuse of the Service.

Class action waiver

You and Pivot agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of a representative or class proceeding.

Opt-out

You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of first accepting these Terms. If you opt out, disputes will be resolved in the courts identified in the Governing Law section.

Regardless of the above, you agree that any claims must be brought within one (1) year of the event giving rise to the claim, or be forever barred.

16. Governing law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of law provisions.

17. Changes to these terms

We may update these Terms from time to time. We will post the updated Terms here and update the "Last updated" date. For material changes, we will provide additional notice such as by email or an in-app notification. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
